01Who we are
These Terms & Conditions ("Terms") govern your use of HarborOS, a contract intelligence and ARR reporting service ("Service") provided by HarborOS, LLC("HarborOS", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms and form a binding contract with HarborOS, LLC.
02Acceptance
By accessing or continuing to use the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you are an individual, you represent that you are of legal age in your jurisdiction.
03The Service
HarborOS ingests contract documents from sources you connect (such as Google Drive), extracts financial terms using AI, and presents them through dashboards, reports, renewal tracking, and an AI assistant.
04Your account
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
05Acceptable use
You agree not to misuse the Service. You will not:
- Use the Service for any unlawful purpose, fraud, or spam;
- Infringe intellectual property or privacy rights of others;
- Attempt to interfere with the security or integrity of the Service, including probing, scanning, scraping, or introducing malware;
- Reverse engineer, decompile, resell, or redistribute the Service;
- Circumvent technical limits, rate limits, or access controls.
06Intellectual property
The Service, including all software, documentation, branding, and content we provide, is owned by HarborOS, LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.
07Your content
You retain ownership of contracts and data you upload or connect ("Your Content"). You grant HarborOS a limited license to host, process, and analyze Your Content solely to provide the Service to you.
08Payments, subscriptions, and refunds
Our order process is conducted by our online reseller Stripe.com. Stripe.com is the Merchant of Record for all our orders. Stripe provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Stripe's Buyer Terms. See also our Refund Policy.
Subscriptions renew automatically at the end of each billing period unless cancelled. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.
09Suspension and termination
We may suspend or terminate your access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. We will make reasonable effort to let you export Your Content for a limited window before deletion.
10Service level and warranties
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11Limitation of liability
To the fullest extent permitted by law, HarborOS, LLC's aggregate liability arising from or relating to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury where such limitation is prohibited by law.
12Indemnification
You agree to indemnify HarborOS, LLC against claims arising from Your Content, your unlawful use of the Service, or your breach of these Terms.
13AI-generated outputs
The Service uses AI models to extract and summarize contract data. Outputs may contain inaccuracies and should be reviewed before being relied on for financial, legal, or regulatory decisions. You are responsible for verifying outputs and for ensuring you have the rights to the documents you submit.
14Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes take effect constitutes acceptance.
15Governing law
These Terms are governed by the laws of the jurisdiction in which HarborOS, LLC is established, without regard to conflict of laws principles.
16Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including outages, natural disasters, or governmental actions.
